By accessing and using Toolsmart's suite of AI-powered productivity tools ("the Services"), you agree to be bound by these Service Terms and to use our Services in accordance with these terms and our Privacy Policy. These Service Terms constitute a binding legal agreement between you and Toolsmart governing your use of our digital platform and all associated tools.
We reserve the right to modify these Service Terms or introduce new conditions for using our Services at any time. When changes occur, we will post the revised terms on our platform with an updated "Last Updated" date. Your continued use of our Services after such modifications constitutes acceptance of the updated terms.
1. Definitions
1.1 "Toolsmart" refers to the Singapore-based non-profit initiative providing AI productivity tools, hereinafter referred to as "we", "us", or "our". For clarity, when services are accessed through partner platforms, Toolsmart remains the primary service provider unless otherwise specified in separate agreements.
1.2 "You" and "Your" means any individual or entity that accesses or uses our Services and agrees to be bound by these Service Terms and our Privacy Policy. This includes both registered users and visitors who engage with our tools without account creation.
1.3 "Content" refers to all materials processed through our Services, including but not limited to: text documents, PDF files, images, videos, social media content, translations, and any other digital materials submitted for processing through our tool suite.
2. License
Subject to these Service Terms, Toolsmart grants you a non-transferable, non-exclusive, non-sublicensable, non-assignable limited license to use our Services. No rights are granted to you by implication, estoppel or otherwise beyond the express terms herein. The Services are licensed, not sold, to you under these terms. You acquire no ownership rights in or to the Services, any functionality provided, or related documentation.
All rights not expressly granted herein are reserved by Toolsmart. We retain full right, title, and interest in and to: (a) The original and all copies of our Services (including updates, modifications, and enhancements); (b) All related documentation and materials; (c) All intellectual property embodied in or related to the Services.
The Services' visual interfaces, workflows, and designs are protected by copyright, trademark, and other applicable laws. You may not: (a) Copy, imitate, or reverse engineer any element of our Services in whole or part; (b) Re-transmit or reproduce any Toolsmart branding elements (logos, interface graphics, etc.) without express written permission; (c) Use our AI models, algorithms, or processing methods for any purpose beyond personal productivity.
This license does not grant rights to: (i) Commercialize or monetize outputs from our Services; (ii) Use our Services to develop competing products; (iii) Bypass any technical limitations or access restrictions in our tools.
Toolsmart reserves all proprietary rights in our name, logos, tool branding, and the distinctive "look and feel" of our platform. Any unauthorized use constitutes breach of these terms and violation of applicable intellectual property laws.
3. Rights and Restrictions Relating to Site Content
The Services and all Content processed through or generated by Toolsmart's platform are protected by copyright, trademark, and other intellectual property laws of Singapore and international jurisdictions. The Services are provided for your personal, non-commercial productivity use only. You may not use the Services or any processed Content in any manner that infringes upon our rights or exceeds authorized usage as defined in these Service Terms.
Unless expressly permitted by these Service Terms or with Toolsmart's prior written consent, you are prohibited from modifying, copying, reproducing, republishing, uploading, posting, transmitting, translating, selling, creating derivative works from, exploiting, or distributing in any medium (including via electronic means) any: (a) Outputs generated through our AI tools; (b) Proprietary interface elements or tool designs; (c) Documentation or explanatory materials accompanying our Services.
You may retain individual outputs from our tools for personal, non-commercial use provided all Toolsmart copyright notices, watermarks (where applicable), and attribution markings remain intact. All derivative works created using our tools must conspicuously acknowledge Toolsmart's role in their generation when shared publicly.
Notwithstanding the above, any downloadable software components provided through the Services ("Tool Components") remain the copyrighted work of Toolsmart and/or our technology partners. Use of Tool Components is governed by supplemental license terms accompanying such components. You may not install or use any Tool Component without first agreeing to its applicable license terms. Any unauthorized reproduction or redistribution of Tool Components contrary to their license terms is expressly prohibited by law and may subject violators to civil and criminal penalties under Singapore's Computer Misuse Act and other applicable legislation.
WITHOUT LIMITING THESE OBLIGATIONS, YOU ARE EXPRESSLY PROHIBITED FROM MIRRORING, ARCHIVING, OR REDISTRIBUTING ANY TOOL COMPONENTS TO THIRD-PARTY SERVERS OR STORAGE SYSTEMS UNLESS SUCH ACTION IS EXPLICITLY PERMITTED IN THE APPLICABLE COMPONENT LICENSE AGREEMENT. THIS RESTRICTION APPLIES EQUALLY TO DIRECT AND INDIRECT DISTRIBUTION METHODS, INCLUDING BUT NOT LIMITED TO PEER-TO-PEER NETWORKS, CLOUD STORAGE PLATFORMS, OR PHYSICAL MEDIA DISTRIBUTION.
4. Account Registration Process
To access certain features, Toolsmart may require account creation via email or third-party authentication services (including but not limited to Google, Microsoft). By registering, you: (a) Warrant that all provided information is and will remain accurate; (b) Acknowledge that organizational accounts may require additional verification.
Toolsmart reserves the right to suspend accounts with suspected false information in accordance with our Privacy Policy. Use of third-party authentication constitutes acceptance of the respective provider's terms, and Toolsmart expressly disclaims liability for any authentication service disruptions.
5. Password Disclosure
You are responsible for maintaining the confidentiality of your account credentials, including your username and password. You agree not to share your credentials with any third party and to promptly notify Toolsmart of any unauthorized access or security breach involving your account. You acknowledge that all activities conducted through your account are your sole responsibility.
Toolsmart shall not be liable for any losses arising from unauthorized account access resulting from your failure to safeguard your credentials. You may be held liable for damages incurred by Toolsmart or third parties due to such unauthorized access. You may not use another user's account without explicit permission from the account holder.
6. Privacy
Toolsmart's collection and use of personal data strictly follows our Privacy Policy. By using our Services, you acknowledge our data practices as described therein.
7. Service Modifications and Discontinuation
We may modify, suspend, or discontinue any part of our Services at any time without prior notice. This includes temporary interruptions for maintenance or permanent discontinuation of specific features.
You acknowledge and agree that we shall not be liable to you or any third party for any modification, suspension, or discontinuance of the Services. All updates, enhancements, and new features introduced to the Services shall remain subject to these Terms of Service.
Toolsmart may, at its sole discretion, provide notice of significant service changes through email notifications or announcements on our platform, though such notice shall not be construed as an obligation.
8. Service Access and Connectivity
You acknowledge and agree that you are responsible for obtaining and maintaining all telecommunications, broadband, and computer hardware, equipment, and services needed to access and use our Services, and for paying all charges related thereto. You agree that your use of the Services will be in accordance with all requirements of your wireless carrier, internet service provider, and other methods of internet access.
We do not control wireless or internet access. Your use of these networks may not be secure and may expose your personal information sent over such networks. While we implement security measures to help safeguard your data, no physical or electronic security system is impenetrable. We cannot guarantee the security of our servers or databases, nor can we guarantee that information you supply will not be intercepted while being transmitted to us over the internet.

Our Services may contain links to third-party websites. Such links do not constitute our endorsement or assumption of responsibility for these external sites, their content, products, or services. Toolsmart makes no representations regarding and assumes no liability for your use of any third-party links.
All Services and Content are provided on an "AS IS" and "AS AVAILABLE" basis. To the fullest extent permitted by law, we expressly disclaim all warranties, whether express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, and non-infringement of intellectual property rights.
We do not warrant that: (A) Our Services will meet your specific requirements; (B) Services will be uninterrupted, timely, secure, or error-free; (C) Results obtained through our Services will be accurate or reliable; or (D) Any Content quality will meet your expectations.
You acknowledge that any use of or reliance upon Content obtained through our Services is solely at your own risk. We shall not be responsible for any damages to your computer system or loss of data resulting from such access or download.
10. Limitation of Liability
In no event shall Toolsmart be liable for any direct, indirect, incidental, special, or consequential damages, including but not limited to damages for loss of profits, revenue, data, or data use, incurred by you or any third party arising from your access to or use of our Services or any Content provided through them, whether in an action of contract, tort, or otherwise.
Some jurisdictions do not permit the exclusion or limitation of certain warranties or liabilities. Where such restrictions apply, our liability shall be limited to the maximum extent permitted by applicable law. You expressly acknowledge and agree that we are not liable for any defamatory, offensive, or illegal conduct of other users.
Your sole and exclusive remedy for dissatisfaction with our Services, any Content, or these Terms is to discontinue using our Services. No action, regardless of form, arising out of or relating to these Terms may be brought by you more than one year after the cause of action has accrued.
11. Indemnification
You agree to defend, indemnify, and hold harmless Toolsmart, our affiliates, and our respective directors, officers, employees, agents, and licensors from and against any and all claims, liabilities, damages, losses, costs, and expenses (including reasonable attorneys' fees) arising out of or relating to: (i) your use of or inability to use the Services; (ii) your violation of these Terms or any applicable laws or regulations; (iii) your violation of any third-party rights, including intellectual property rights; or (iv) any activity occurring through your account (whether authorized by you or not).
We reserve the right, at our own expense, to assume the exclusive defense and control of any matter otherwise subject to indemnification by you, in which event you agree to cooperate with our defense of such claim. Your indemnification obligation will survive the termination of these Terms and your use of the Services.
12. Suspension and Termination of Access
Toolsmart reserves the right to review the Services and all Content provided through them, and to monitor all usage activity. You agree that we may in our sole discretion suspend or terminate your access to the Services or any portion thereof, without notice. You agree we shall not be liable to you or any third party for: (a) Any suspension or termination of your access; (b) Any removal of Content you submitted . Notwithstanding any suspension or termination, you will remain bound by these Terms as effective at the time of such action.
13. Notice of Copyright and/or Trademark Infringement
If you are a copyright/trademark owner who believes your copyrighted material has been reproduced, posted or distributed via our Services or your registered trademark has been used in our Services in a manner that constitutes copyright/trademark infringement, please contact us through the designated channels. Please include the following information in your written notice: (1) a detailed description of the copyrighted material that is allegedly infringed upon, or a copy of the trademark registration certification; (2) a description of the location of the allegedly infringing material/trademark on our Services; (3) your contact information, including your address, telephone number, and, if available, email address; (4) a statement by you indicating that you have a good-faith belief that the allegedly infringing use is not authorized by the copyright/trademark owner, its agent, or the law; (5) a statement by you, made under penalty of perjury, affirming that the information in your notice is accurate and that you are authorized to act on the copyright/trademark owner's behalf; and (6) an electronic or physical signature of the copyright/trademark owner or someone authorized on the owner's behalf to assert infringement of copyright/trademark and to submit the statement. Please note that the contact procedure described in this paragraph is for suspected copyright/trademark infringement only. Contact information for other matters is provided elsewhere in these Terms or on our Services.
14. Materials Provided by You
You may provide certain materials (including feedback and suggestions) to Toolsmart. By doing so, you grant us the unrestricted right to use your materials in connection with the operation of our Services, including, without limitation, the license right to: copy, edit, publicly perform, translate, publish, reproduce, transmit, download, upload, post, publicly display, incorporate it (in whole or in part) in other works in any form, media or technology now known or later developed; to publish your name in connection with your materials; or otherwise distribute your materials in any manner.
No compensation will be paid with respect to the use of your materials. We are under no obligation to use any materials you provide and may remove any material at any time in our sole discretion.
By providing materials, you warrant that you own or control all necessary rights to grant the above license, including all rights required to provide, post, upload, or submit the materials.
We may, at our sole discretion and without notice, review, modify, or prohibit any materials that we deem inappropriate or that violate these Terms.
15. Arbitration
You and we agree that any dispute, claim or controversy arising out of or relating in any way to the Services or these Terms shall be submitted to the Hong Kong International Arbitration Centre (HKIAC) for arbitration, which shall be conducted in accordance with the HKIAC's arbitration rules in effect at the time of applying for arbitration.
Arbitration uses a neutral arbitrator instead of a judge or jury, allows for more limited discovery than in court, and is subject to very limited review by courts. Arbitrators can award the same damages and relief that a court can award. You agree that, by agreeing to these Terms, you and we are each waiving the right to a trial by jury or to participate in a class action. This arbitration provision shall survive termination of these Terms and the termination of your access to the Services. The arbitrator is bound by the terms of these Terms. All issues are for the arbitrator to decide, including issues relating to the scope and enforceability of this arbitration agreement.
16. Other
These Terms constitute the entire agreement between you and Toolsmart regarding their subject matter, and supersede all prior oral or written communications or documents relating to the same. No additional or inconsistent terms in any purchase order or other document you submit will modify these Terms.
If any provision of these Terms is held invalid or unenforceable, it shall be enforced to the maximum extent permissible, and the remaining provisions shall remain in full force and effect. To the extent any provision cannot be enforced, it shall be deemed modified to the minimum extent necessary to make it valid and enforceable while preserving its original intent to the fullest possible extent under applicable law.
Failure by Toolsmart to enforce any right under these Terms shall not constitute a waiver of our right to enforce the same or any other right in relation to the same or any other breach.
