1. Agreement to These Terms

These Terms of Service ("Terms") are a binding agreement between you and Toolsmart.ai Software (Singapore) Limited ("Toolsmart", "we", "us"), covering your use of www.toolsmart.ai, its subdomains, and the services available through them (the "Service").

By accessing or using the Service, you agree to these Terms. If you do not agree, do not use the Service.

2. The Service

Toolsmart provides a collection of free, browser-based tools for working with documents, images, text, and media.

The Service is provided free of charge. We may add, change, suspend, or discontinue any tool at any time, with or without notice. We may also set limits on file size, file count, or usage frequency.

3. Eligibility

You must be at least 16 years old to use the Service. If you use the Service on behalf of an organisation, you confirm you have authority to bind that organisation to these Terms.

4. Your Content

You keep your rights. You retain all ownership of the files, text, and other material you submit to the Service ("User Content"). We claim no ownership over it.

The licence you give us is narrow. You grant us a limited, worldwide, royalty-free licence to host, store, process, transmit, and modify your User Content solely for the purpose of operating the tool you selected and returning the result to you. This licence ends when the content is deleted in accordance with our Privacy Policy.

You are responsible for what you submit. You confirm that you own your User Content or have all rights and permissions necessary to submit it and to have it processed by the Service, and that doing so does not infringe anyone's rights or break any law.

5. Acceptable Use

You agree not to use the Service to:

• Infringe copyright, trademark, privacy, publicity, or any other right of any person or entity
• Upload or process content that is unlawful, defamatory, harassing, hateful, or sexually exploitative
• Create or process content depicting the sexual exploitation or abuse of minors
• Impersonate any person or entity, or misrepresent your affiliation with one
• Produce content intended to deceive, defraud, or mislead — including forged documents, fake identification, or fabricated records
• Circumvent, disable, or interfere with security features, access controls, rate limits, or usage restrictions
• Access the Service through automated means — scrapers, bots, or scripts — except as we expressly permit
• Resell, sublicense, or commercially redistribute the Service or its output as a competing service
• Introduce malware, or otherwise disrupt or overload our infrastructure
• Violate any applicable law or regulation

We may investigate suspected violations and may suspend or block access to the Service at our discretion.

6. Tools That Access Third-Party Platforms

Some tools let you download or convert media from third-party platforms such as YouTube, Instagram, TikTok, Facebook, and others.

These tools are provided for lawful personal use only — for example, downloading content you created, content you own the rights to, content that is in the public domain, content licensed for reuse, or use that qualifies as fair use or fair dealing under applicable law.

Toolsmart is not affiliated with, endorsed by, or sponsored by any of these platforms. All trademarks belong to their respective owners.

If you believe content has been used in a way that infringes your copyright or trademark, contact us at marta@wps.com. Your notice should identify the protected work, the material and its location, your contact details, your good-faith belief that the use is unauthorized, a statement that the information is accurate and that you are authorized to act, and your physical or electronic signature.

7. AI-Generated Output

Some tools use artificial intelligence to generate or transform content.

• Output may be inaccurate. AI systems can produce results that are wrong, misleading, biased, or nonsensical. Do not rely on output for legal, medical, financial, or other professional decisions without independent verification.
• Output is not guaranteed to be unique. Similar inputs may produce similar output for different users. We make no representation that output is original or free of third-party rights.
• You are responsible for how you use it. You are responsible for reviewing output before you rely on it, publish it, or submit it anywhere — including to schools, employers, or publishers, whose own rules on AI-assisted content are yours to follow.

8. Our Intellectual Property

The Service — including its software, design, text, graphics, and the Toolsmart name and logo — is owned by us or our licensors and protected by intellectual property law. These Terms do not grant you any right to use our branding without our prior written permission.

9. Availability

We work to keep the Service running, but we do not guarantee it will be available, uninterrupted, or error-free. Maintenance, technical issues, and third-party outages may make it unavailable.

Keep your own copies. Do not use the Service as a backup or storage system. We delete uploaded files on a short cycle (see our Privacy Policy) and are not responsible for content you fail to save.

10. Disclaimer of Warranties

To the fullest extent permitted by law, the Service is provided "as is" and "as available", without warranties of any kind, express or implied, including implied warranties of merchantability, fitness for a particular purpose, title, non-infringement, accuracy, and uninterrupted availability.

Some jurisdictions do not allow the exclusion of certain warranties, so parts of this section may not apply to you.

11. Limitation of Liability

To the fullest extent permitted by law, Toolsmart and its officers, employees, and suppliers will not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for any loss of profits, revenue, data, goodwill, or business opportunity, arising out of or relating to your use of the Service — whether or not we were advised of the possibility.

Where applicable law does not permit a complete exclusion of liability, our liability will be limited to the maximum extent permitted by that law. Your sole remedy for dissatisfaction with the Service is to stop using it.

Nothing in these Terms excludes liability that cannot be excluded by law, including liability for death or personal injury caused by negligence, or for fraud.

12. Indemnity

You agree to indemnify and hold harmless Toolsmart and its officers, employees, and suppliers from any claim, demand, loss, liability, or expense (including reasonable legal fees) arising out of your User Content, your use of the Service, or your breach of these Terms or of any law or third-party right.

13. Termination

You may stop using the Service at any time.

We may suspend or terminate your access at any time, without notice, if we reasonably believe you have violated these Terms or that your use creates risk or legal exposure for us or others.

Sections 4, 7, 8, 10, 11, 12, and 14 survive termination.

14. Governing Law and Disputes

These Terms are governed by the laws of Singapore, without regard to conflict-of-law rules.

Any dispute, claim, or controversy arising out of or relating to the Service or these Terms will be submitted to the Hong Kong International Arbitration Centre (HKIAC) and resolved under the HKIAC rules in effect when arbitration is commenced.

To the extent permitted by applicable law, you and Toolsmart waive the right to a jury trial or to participate in a class action. The arbitrator will decide issues concerning the scope and enforceability of this arbitration agreement.

Consumers in the EU, UK, and certain other jurisdictions may have mandatory rights under local law that these Terms do not override, including the right to bring proceedings in their local courts.

15. Changes to These Terms

We may update these Terms. When we do, we will revise the "Last Updated" date above and may provide notice through the Service or by email. Continuing to use the Service after changes take effect means you accept the revised Terms.
